Terms of Service

This document is a general template provided for transparency and is not legal advice. PortProcure recommends reviewing it with qualified legal counsel before relying on it.

1. Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of PortProcure (“PortProcure”, “we”, “us”) and the Platform at portprocure.com, including the maritime supplier directory, vessel-operations hub, and procurement services. By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.

2. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract. You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.

3. Free to join and list

Registration and listing on the directory are free. We may introduce paid features (such as banner advertising or premium tiers) in the future; any charges will be disclosed before you incur them.

4. Acceptable use

You agree not to: post false, misleading, or unlawful content; scrape, harvest, or bulk-extract data (including contact details) from the Platform; interfere with or attempt to bypass security or access controls; send spam or unsolicited communications; or use the Platform in violation of any applicable law.

5. Supplier listings and content

You are solely responsible for content you submit, and you warrant you have the rights to submit it and that it is accurate. You grant PortProcure a non-exclusive licence to host, display, and distribute that content for the purpose of operating the Platform. We may moderate, edit, or remove content that violates these Terms.

6. Procurement and RFQs

PortProcure provides tools that let buyers and suppliers exchange requests for quotes (RFQs), quotes, orders, and invoices. PortProcure is a facilitator only and is not a party to any transaction between users.We do not guarantee the quality, safety, legality, or delivery of any goods or services, nor any party’s ability or intent to complete a transaction. Any contract formed is solely between the buyer and the supplier.

7. Advertising

The Platform may display advertising, including supplier banners. Advertisements do not constitute an endorsement, and your dealings with advertisers are solely between you and them.

8. Intellectual property

The Platform, including its design, software, and branding, is owned by PortProcure or its licensors and is protected by intellectual-property laws. Except for content you submit, you may not copy, modify, or create derivative works without our permission.

9. Operational and third-party data

Vessel positions, port information, lighthouse data, and weather are provided by third parties and for general informational purposes only, on an “as is” basis. This data must not be relied upon for navigation or safety-of-life decisions. We do not warrant its accuracy, completeness, or timeliness.

10. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, PortProcure will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising from your use of the Platform.

12. Indemnification

You agree to indemnify and hold PortProcure harmless from any claims, damages, or expenses arising from your content, your use of the Platform, or your violation of these Terms.

13. Termination

You may close your account at any time. We may suspend or terminate access if you violate these Terms or if we discontinue the Platform. Provisions that by their nature should survive termination will do so.

14. Governing law

These Terms are governed by the laws of [INSERT jurisdiction — review with legal counsel], without regard to conflict-of-laws principles, and any dispute will be subject to the exclusive jurisdiction of its courts.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above; your continued use after changes take effect constitutes acceptance.
